1. General Provisions

This Terms of Service ("Agreement") regulates the terms regarding the use of invoice and expense management services offered by Giderly ("We", "Us", "Service"). By using our Service, you are deemed to have accepted all provisions of this Agreement.

2. Service Definition

Giderly is a modern expense management platform. The services offered include:

Document and Expense Records: Uploading invoices/receipts, manual expense entry, and document archiving.
AI-Powered Analysis: Optional automatic reading of photo or PDF documents and suggested expense fields.
Multi-Company Management: Management of expenses for multiple companies or sub-firms under a single account.
Employee and Approval Management: Employee assignment, password-based access, and expense approval mechanisms.
Currency, Exchange, and Reporting: Multi-currency tracking, automatic exchange conversions, and PDF, Excel, CSV exports.

3. Physical Document Retention Obligation

In case of loss of the physical document, digital records, document images, and transaction history kept in Giderly may be of a nature to support the authenticity of the expense. However, keeping physical documents is entirely the user's responsibility pursuant to applicable legislation. Giderly does not guarantee that digital records will replace physical documents in legal or financial audits. Retaining original documents required by tax laws and relevant legislation is the user's responsibility.

4. Account Creation and Security

You must create an account to use our Service. When creating an account:

You must provide accurate, current, and complete information.
You are directly responsible for the security of your account information and password.
Responsibility for transactions made in Company/Firm authorizations and employee assignments belongs to the account holder.
You must inform us immediately if you detect unauthorized access or a security breach in your account.

5. User Obligations

When using our Service:

You must use it only for legal and legitimate purposes.
AI-powered invoice/receipt analysis is an optional automatic reading feature offered as an auxiliary tool. Users may record and manage expenses manually without using this feature.
It is the user's responsibility to review, correct when necessary, and approve the data generated by AI-powered analysis.
You must not upload false, misleading, or fake documents.
You must not abuse the service or engage in actions that threaten system security or performance.
For business accounts: You declare that you have the required legal basis to process your employees' personal data in Giderly, and that you have informed or will inform your employees as required under KVKK and applicable privacy law. The employer/company is responsible for inviting and authorizing employees and transferring employee data to the Service.

6. Data Privacy and International Transfers

See our Privacy Policy for detailed information about the processing of your personal data. By using our Service, you are deemed to have accepted the processing of your data in accordance with this Agreement and Privacy Policy.

Türkiye-based storage: The primary application/database infrastructure used for account, company, employee, expense, and document archive records is hosted on Türkiye-based servers.

AI analysis: AI-powered document analysis is optional. If you use this feature, document content may be processed outside Türkiye on the AI service provider's infrastructure; if you do not use it, you may record and manage expenses manually. Using AI-powered document analysis means you consent to this processing and international transfer under the Explicit Consent Text. You may withdraw consent at any time via info@giderly.com; withdrawal may prevent us from providing AI-powered analysis features.

7. Intellectual Property

The Giderly platform, software, interface, brand, and documentation are owned by Giderly and protected by intellectual property laws. Expense records, reports, and exports you create, upload, or download belong to you; you may use them for your commercial activities, accounting, finance, and internal business processes. You may not reverse engineer, resell, sublicense, or copy the Giderly software without authorization.

8. Service Changes and Interruptions

We reserve the right to modify, suspend, or terminate our Service at any time. There may be temporary interruptions in the service due to maintenance, updates, or technical issues. We cannot be held responsible for these situations.

9. Limitation of Liability

Our Service is provided "as is". There may be errors in AI-powered data extraction processes and users are recommended to check the data. We do not guarantee that our Service will be uninterrupted, error-free, or secure.

10. Account Cancellation

You can cancel your account at any time. In case of account cancellation, your data may be stored for legal retention periods. We recommend exporting all your important data before cancellation.

11. Agreements Changes

We may update this Agreement at any time. We will notify you of significant changes. Continuing to use the service after changes means you accept the updated Agreement.

12. Applicable Law

This Agreement is subject to the laws of the Republic of Turkey. Disputes arising from this Agreement shall be resolved in Turkish courts.
